Terms of Service

Introduction#

Welcome to Livefolio. These Terms of Service ("Terms") govern your access to and use of Livefolio's website, app, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

"Livefolio," "we," "us," and "our" refer to the operators of livefol.io. "You" refers to the person using the Service.

Eligibility#

You must be at least 18 years old, or the age of majority where you live, to use Livefolio. By using the Service, you represent that you have the legal capacity to enter into these Terms and that you are not on any list of prohibited or restricted parties under applicable law.

Your account#

You're responsible for keeping your account secure. That means:

• Providing accurate information when you sign up.
• Keeping your credentials confidential and not sharing your account.
• One account per person — no shared or commercial multi-user accounts.
• Letting us know promptly if you suspect unauthorized access.

We can suspend or close accounts that we believe are being used in violation of these Terms.

The service#

Livefolio is a tool for building, sharing, and tracking investment strategies. You can define rules, allocate weights across assets, run backtests, follow strategies created by others, and (optionally) connect a brokerage account to view your real positions.

Livefolio is not a broker-dealer, investment adviser, or financial planner. We do not custody your assets, execute trades on your behalf except as a pass-through to your connected broker, or offer personalized investment recommendations. See our Privacy Policy for how we collect and handle data.

No investment advice#

Everything on Livefolio — strategies, backtests, metrics, commentary, charts — is for informational and educational purposes only. Nothing on Livefolio is investment, legal, tax, or financial advice. Past performance does not predict future results. Backtests use historical data and assumptions that may not hold in the future.

You are solely responsible for your investment decisions. Consult a qualified professional before making financial decisions. Livefolio has no fiduciary relationship with you.

Subscriptions and payments#

Livefolio offers Free and Pro plans. Pro plans are billed through our payments processor (Autumn, which uses Stripe). By subscribing, you authorize recurring charges at the price and interval shown at checkout until you cancel.

• Renewals: subscriptions auto-renew unless cancelled before the end of the current period.
• Taxes: prices may not include applicable taxes; we may add them where required by law.
• Price changes: we'll notify you in advance of any change to your plan's price.
• Cancellation: you can cancel anytime in /settings/billing. You retain access to Pro features until the end of the paid period.
• Refunds: refunds are provided at our discretion and are not guaranteed.

Brokerage connections#

If you choose to connect a brokerage account, the connection is provided through SnapTrade. Use of SnapTrade is subject to SnapTrade's own terms. We don't custody your assets or hold your broker login. When you place an order through Livefolio, the order is routed to your broker for execution; the trade itself is between you and your broker.

You are responsible for reviewing every order before submission and for understanding the risks of trading.

User content#

The strategies you create are yours. You retain ownership of any rules, allocations, names, descriptions, and other content you upload or generate ("Your Content").

By making a strategy public or shareable, you grant Livefolio a worldwide, royalty-free license to host, display, and distribute that strategy on the Service. This license ends when you delete the strategy or close your account, except for any copies others have already saved or shared.

Acceptable use#

Don't:

• Reverse-engineer, scrape, or otherwise extract data from the Service except through public APIs we provide.
• Attempt to bypass authentication, rate limits, or other protections.
• Use the Service for anything illegal, fraudulent, or harmful.
• Harass, threaten, or impersonate others.
• Upload content that infringes someone else's rights.
• Try to manipulate Livefolio's metrics, leaderboards, or visibility.

Violations may result in suspension or termination, with or without notice.

Third-party services#

Livefolio relies on third parties to operate, including Supabase (auth and database), Autumn and Stripe (billing), SnapTrade (brokerage connectivity), Vercel (hosting and analytics), and an email delivery provider for transactional email. We choose vendors carefully, but we're not responsible for their actions or outages. Their use is governed by their own terms.

Intellectual property#

The Livefolio name, brand, design, and source code are owned by us. These Terms don't grant you any rights to use them except as needed to use the Service. All other trademarks belong to their respective owners.

Disclaimers#

The Service is provided "as is" and "as available." We make no warranties — express or implied — about uptime, accuracy, completeness, fitness for a particular purpose, or non-infringement. Market data may be delayed, incomplete, or wrong. Backtests may contain errors or assumptions that don't match real markets.

Limitation of liability#

To the maximum extent permitted by law, Livefolio's total liability to you for all claims arising from these Terms or your use of the Service is limited to the greater of (a) the amount you paid Livefolio in the twelve months before the claim, or (b) USD 100. We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits or trading losses, even if we've been advised of the possibility.

Some jurisdictions don't allow these limitations; in those places, this section applies to the maximum extent permitted.

Indemnification#

You agree to defend and indemnify Livefolio against any claim, loss, or expense arising from your misuse of the Service, your violation of these Terms, or your violation of someone else's rights.

Termination#

You can stop using the Service at any time and delete your account by emailing support@livefol.io. We can suspend or terminate your access if you violate these Terms or if we reasonably need to (for example, to comply with law). On termination, your right to use the Service ends immediately. Sections that by their nature should survive — disclaimers, limitations of liability, indemnification, intellectual property, and governing law — will survive.

Changes to these terms#

We may update these Terms from time to time. If a change is material, we'll notify you by email or in-app before it takes effect. Continuing to use the Service after a change means you accept the updated Terms.

Governing law and disputes#

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The exclusive venue for any dispute is the state and federal courts located in Delaware. Before filing anything, you and Livefolio agree to try to resolve the dispute informally by emailing support@livefol.io and waiting 30 days.

To the extent permitted by law, you and Livefolio waive any right to a jury trial and to participate in a class action.
